Standard Operating Procedure

Producer Placement OperationsFrom the first placement email to contracted, paid and SoundExchange-active, with proof at every step.

The artist's signed SoundExchange Letter of Direction, with its certificate of completion, must be received before the producer signs the producer agreement.

Once the producer signs, the artist side has no reason to hurry on the LOD, so the producer's signature is held at the LOD gate.

The employee loop

ProveSave the document that proves it happened.
AdvanceMove the stage only when the proof is saved.

A request is not proof. "Sent," "signed" and "OK to pay" are claims; the document is the proof.

01Placement OverviewOpen

Your job

Your job is not to negotiate the placement.

Your job is to track what happened, collect the proof, do the next approved step, and keep the placement moving.

The loop you run every time

SEE → ACT → PROVE → ADVANCE

  1. SEE — What am I looking at? Which stage is the placement in?
  2. ACT — What's missing? Do the next step on the card for that stage.
  3. PROVE — Save the document that proves it happened.
  4. ADVANCE — Move the stage forward only when the proof is saved.

When a card says 🚨, you STOP → DOCUMENT → ESCALATE (card 09).

Placement lifecycle

# Stage What happens Card
1 INTAKE Something came in 02
2 TERMS Advance, points, publishing, credit, splits, all confirmed in writing 03
3 CONTRACT Agreement received and checked against the terms 04
4 ARTIST LOD The artist signs the SoundExchange LOD first 06
5 SIGNATURE Only then does the producer sign; then everyone signs 04
6 VENDOR SETUP Label payment paperwork (start early, at TERMS) 05
7 INVOICE Sent after the agreement is fully executed 05
8 PAYMENT Confirmed only by remittance or bank proof 05
9 SOUNDEXCHANGE LOD submitted and confirmed active 06
10 RELEASE Tracked the whole time; checked before release 07
11 RECONCILIATION Amounts received match the agreement 10
12 CLOSEOUT Every box checked, placement CLOSED 10

The rule that changes the order

The artist signs the SoundExchange Letter of Direction BEFORE the producer signs the producer agreement.

Once the producer signs, the artist side has no reason to hurry on the LOD. So the producer's signature waits.

Three sentences to remember

  • A request is not proof. "Sent," "signed," and "OK to pay" are claims. The document is the proof.
  • Never choose between two versions. If two documents say different things, 🚨 escalate.
  • Never touch money or signatures. You don't sign, send bank details, or agree to terms.

02New Placement IntakeOpen

Use when: an email, text, file, or message says a producer's beat is being used, or a label/attorney asks about a producer.

Do it: the same business day it arrives.

Step 1 — Check it isn't already in the system

Search the placement tracker for the artist, song, and any other spelling of the title ("Luv U" / "Love You").

  • Found → add this email to that placement. Don't create a second one.
  • Watch for same title, different song. Check the artist and date.

Step 2 — Create the placement

Placement ID: KM-YYYY-NNNN (year + next number, e.g. KM-2026-0014)

Artist

Field Enter
Artist name
Song
Project album / EP / single / UNKNOWN
Label
Manager
A&R
Producer(s) every producer named

Placement

Field Enter
Placement date date of first evidence
How it started who sent what (label email, attorney, artist, audio file…)
Current stage INTAKE
Owner you
Priority 🔴 release date known / 🟡 terms in hand / 🟢 early

Evidence (save at least one)

☐ Email ☐ Text ☐ Contract ☐ Beat/stem delivery ☐ Deal memo ☐ Other: ______
Save it to the placement folder: 99_Correspondence/YYYY-MM-DD_<subject>.pdf

Step 3 — Are there terms in writing?

What you have Stage Next action
Advance / points / publishing written in an email or document TERMS Card 03
Only an audio file, a title, or "we're using the beat" INTAKE — UNPAPERED Send Email 07 (Paperwork Request) from card 08. Recheck weekly.

UNPAPERED means we don't assume a deal exists. Fill in "What should be verified next" on the record.

Done when

☐ Placement ID created ☐ All known fields filled (UNKNOWN for the rest) ☐ Evidence saved ☐ Next action + due date set

03Deal Terms ChecklistOpen

Use when: terms arrive, or any email changes a number.

Step 1 — Fill in the terms snapshot

Copy the exact sentence for each term into the record, with the email date. Label it TS-1. If terms change later, make TS-2. Never overwrite TS-1.

Field What to write Status
Advance Total $, and "all-in" yes/no 🟢 / 🟡 / 🔴
Producer split Each producer's share of the advance 🟢 / 🟡 / 🔴
Producer points Total points/royalty + each producer's share 🟢 / 🟡 / 🔴
Publishing Our producer's % — and does it say each or total? 🟢 / 🟡 / 🔴
Credit Exact wording ("Produced by X & Y") 🟢 / 🟡 / 🔴
Master rights Who gets rights to the recording, if stated 🟢 / 🟡 / 🔴
Exclusivity Any exclusive-use language, if stated 🟢 / 🟡 / 🔴
Payment party Who pays (label/company) and who gets paid (producer's company) 🟢 / 🟡 / 🔴
Samples Producer's written answer: none, or a list 🟢 / 🟡 / 🔴
Other collaborators Producer's written answer: none, or names 🟢 / 🟡 / 🔴

What the colors mean

Color Means Your action
🟢 Confirmed Written down and confirmed in writing by every producer Continue
🟡 Missing Not stated anywhere yet, or unclear ("25%" without saying each/total) Find it: ask using Email 08 (Terms Confirmation)
🔴 Conflict Two emails or documents say different things 🚨 Escalate. Do not pick one.

Step 2 — Get confirmations in writing

☐ Our producer confirmed TS-__ in writing
☐ Each co-producer's team confirmed the split in writing
☐ Producer answered: samples? __
☐ Producer answered: other collaborators?
____
"Looks good" on a different email, a call, or an emoji does not count. Ask again, quoting the terms.

🚨 Escalate immediately if

  • any 🔴
  • a new producer, writer, or collaborator appears
  • a sample or interpolation is mentioned
  • a co-producer's team won't confirm the split (this once stalled a contract for 63 days)

Done when

Every row 🟢 → stage = CONTRACT → send the contracting info (Email 09) → card 04. Also start vendor setup now (card 05, Part A).

Download card 03 (PDF)

04Contract & Signature ChecklistOpen

KEYMAN RULE: A signature request is not proof of execution.

Part A — Check the agreement (before anyone signs)

Put the agreement next to the confirmed terms (card 03). Check every line matches exactly.

☐ Correct artist and song
☐ Correct producer name (spelled right)
☐ Correct advance
☐ Correct royalty / points
☐ Correct publishing
☐ Correct credit
☐ Correct company name and payment information
☐ Correct signature blocks (right people, right companies)
☐ No page or exhibit says "to be provided separately" or is blank
☐ SoundExchange LOD included, with the correct payee and %
Anything different or missing → 🚨 Escalate. Don't send the producer's signature.

Part B — The LOD comes first

☐ Artist-signed LOD received
☐ LOD certificate of completion received and checked (card 06)
Until both boxes are checked, the producer does not sign. Tell the producer and their attorney in writing: "Please hold signature until the artist's signed LOD and certificate are in." If anyone pushes for the producer to sign first → 🚨 Escalate.

Part C — After the LOD is in: signatures

☐ Producer signed (e-signature with certificate, or scanned ink — not a pasted image)
☐ The other side confirmed they received the producer's pages (ask after 2 business days; signed pages have gone missing for weeks)
☐ Other producer(s) signed
☐ Label / artist signed
☐ Every extra signature page signed (guarantee letters, payment letters, exhibits)
☐ Fully executed copy received — every signature line signed
☐ Executed copy uploaded to the placement (03_Agreement/fully-executed/)

What doesn't count

They say What it actually is
"Sending the contract now" Nothing yet
"He signed it" Nothing until the PDF is saved
A copy signed by the producers only Partially executed, not done
"OK to pay" / "we'll circle back with the executed copy" Not fully executed

Clocks

  • No fully executed copy 10 business days after the producer signed → Email 01 (Executed Agreement)
  • Then the standard follow-up clock (card 08)

Done when

Fully executed PDF saved → stage = INVOICE (card 05) and SOUNDEXCHANGE (card 06).

05Invoice & Payment ChecklistOpen

Our job is to track payment. The money goes to the producer's company. Vox Nova never receives, holds, or redirects it.

Payment status

NOT INVOICED ──── vendor setup in progress
      ↓
INVOICE READY ─── vendor setup confirmed + ONE payment route + agreement fully executed
      ↓
INVOICE SENT ──── invoice sent and the label confirmed they received it
      ↓
PAYMENT PENDING ─ "OK to pay" / PO issued / "should land by…" ← NOT paid
      ↓
PAYMENT CONFIRMED remittance or bank record: amount + payer + date
      ↓
RECONCILED ────── amount = invoice = agreement; saved in the folder

Part A — Vendor setup (start at TERMS)

☐ Asked the label which vendor/payee forms they need (Email 10)
☐ Got the forms from the label this time (old versions get rejected)
☐ Producer completed and signed them (e-signature or ink — no pasted images)
☐ Tax form is current and in the payee company's exact name
☐ Label confirmed in writing that the vendor record is approved
"Looks good to submit" = still in progress.

Part B — One payment route

☐ Payee company on the invoice = payee in the agreement = vendor record
☐ Only one way this money is being paid
☐ Label confirmed the route in writing
A second payment letter, a new bank form, or a third party asking to be paid → 🚨 Escalate.

Part C — Invoice & payment card (one per payment)

What it's for ☐ Producer advance ☐ Legal fee ☐ Other
Amount $______ (from the fully executed agreement)
Payer ______
Payee company ______
Invoice # ______
PO # ______
Date sent ______
Label confirmed receipt ______
Expected payment ______
Payment evidence ______
NEXT ACTION ______

Clocks

  • Invoice sent, no receipt confirmation → standard clock (card 08)
  • No payment 10 business days after receipt was confirmed, or on the promised date → Email 02 (Payment Status)
  • Co-producer got paid and ours didn't → Email 02 the same day

Does NOT count as paid

"OK to pay" · PO issued · "should land Wednesday" · ACH notice with no amount · invoice sent · co-producer paid

🚨 Escalate if

amount received ≠ invoice · payer unclear · two payment routes · anyone asks you for bank details

06LOD / SoundExchange ChecklistOpen

What it is: the artist signs a Letter of Direction (LOD) telling SoundExchange to pay part of the artist's digital-radio royalties to the producer's company. Only the artist can sign it.

Why it comes first: the producer's signature waits until the artist's LOD is in. That's the only leverage we have to get it.

Part A — Get the artist's LOD (before the producer signs)

☐ LOD requested from the artist's attorney/label (Email 03) — send it with the contracting info, not after release
☐ Producer company + % on the LOD confirmed from the agreement
☐ Song title / recording information confirmed
☐ Producer + attorney told to hold signature
☐ LOD sent to the artist for e-signature (save the notice)
☐ Artist-signed LOD PDF saved
☐ Certificate of completion saved

Part B — Check the certificate (all must pass)

☐ It's the e-signature platform's own completion page (not a screenshot of an email)
☐ Document ID or document name matches the LOD
☐ Signer = the artist named on the LOD
☐ Status says Completed, with a date/time
☐ Signature is a real e-signature or ink, not a pasted image
☐ Payee company on the LOD = the agreement
☐ % on the LOD = the agreement
☐ Names and titles spelled correctly
All pass → the producer may sign (card 04, Part C). Any fail → Email 03, "correction" version. Wrong payee or % → 🚨 Escalate.

Part C — After the agreement is fully executed

☐ Who submits the LOD to SoundExchange, confirmed in writing
☐ LOD submitted — proof saved (email, case number, or dated screenshot)
☐ Active at SoundExchange — SoundExchange email or dated portal screenshot
☐ Everything uploaded to 04_SoundExchange_LOD/
Check "active" every 10 business days. Not active after 3 checks → 🚨 Escalate.

What doesn't count

They say / you have It is
"I sent the LOD" Sent — not signed
"He signed it" Nothing until the PDF is saved
Signed LOD, no certificate Not verified
Signed LOD + certificate Verified — but not proof SoundExchange has it

If it's missing

ACTION REQUIRED: Request LOD documentation → Email 03.

07Release Tracking ChecklistOpen

We track the release. We never tell a label whether it can release. Songs often come out before the paperwork is done. Our job is to spot that early and escalate.

When to check

  • As soon as a release date is known or changes
  • Every Monday for any placement with a release date
  • Every day once release is 10 business days away or less
  • On release day

Release date

Release date _-_- ☐ announced ☐ actual
Where it came from ______ (save it to 07_Release/)
Business days away ______

If the release date is unknown: search the artist's socials/DSP pages and ask with Email 05. Record UNKNOWN until you have proof.

Release-ready check

☐ Terms confirmed (card 03 all 🟢)
☐ Every producer identified
☐ Publishing confirmed in the executed agreement
☐ Points confirmed in the executed agreement
☐ Samples cleared / confirmed none
☐ Other collaborators identified
☐ Artist LOD + certificate received before the producer signed
☐ Agreement fully executed
☐ Payment confirmed — or invoice + vendor + route done, and the manager has accepted in writing that payment will follow release
☐ LOD submitted to SoundExchange
☐ Documents saved
☐ No open escalation

11Employee Do / Don'tOpen

✅ DO

  • Save the proof before you change any stage
  • Copy terms word for word into the record, with the date and sender
  • Write UNKNOWN when no document says it
  • Keep every version. Make a new file; never overwrite
  • Open the attachment. Take facts from the document, not from the email describing it
  • Keep the producer's signature on hold until the artist's LOD + certificate are in
  • Ask every co-producer to confirm the split in writing
  • Start vendor paperwork early, at TERMS
  • Follow the clock: +3 days → follow-up · +3 → final follow-up · +2 → escalate
  • Reply on the same thread so the history stays together
  • Update "Next action" and "Due" every time you touch a placement
  • Review every open placement on Monday
  • Escalate the same day when a card says 🚨

❌ DON'T

  • Don't negotiate or suggest terms, even small ones
  • Don't pick between two conflicting numbers
  • Don't sign anything for anyone
  • Don't send or ask for bank details, tax IDs, or ID documents by email (they go on the label's own forms)
  • Don't change a payment route or accept a new one
  • Don't release signature pages before the LOD gate is cleared
  • Don't mark anything done because someone said so ("sent," "signed," "OK to pay")
  • Don't tell a label whether it can release a song
  • Don't give legal, tax, or accounting opinions. "I'll check with my manager" is always a good answer
  • Don't send a third follow-up. Escalate instead
  • Don't share placement records or contacts outside Vox Nova, the producer, and the producer's attorney
  • Don't "fix" a document yourself (spelling, payee, amounts). Ask the sender to correct it

☐ Every open placement has a next action + due date + owner
☐ No request is past its escalation day without an escalation
☐ Every release ≤10 BD shows READY or an escalation
☐ No placement shows "paid" without proof in 06_Payment/
☐ No producer signed before the artist's LOD (check dates on the record)
☐ Spot-check one closed placement with the six-month test (card 10)

Later (not built yet)

Placement economics. Once enough placements are closed with confirmed payments, the payment records can feed a placement P&L (revenue → advance → admin/commission → producer share → expenses → net). Payment tracking comes first. Don't build the P&L before the data exists.

Producer Placement Operations

Keyman Publishing, LLC · Licensed to Vox Nova, LLC

A delegated playbook for taking a producer placement from the first email to contracted, paid, and SoundExchange LOD active, with proof at every step.

The one rule that makes it work

Status moves on evidence, not on emails. LOD sent ≠ LOD signed ≠ certificate verified ≠ active at SoundExchange. Contract sent ≠ producer signed ≠ fully executed. Invoice sent ≠ "OK to pay" ≠ paid.

The Vox Nova sequencing rule

The artist's signed SoundExchange LOD, with its certificate of completion, must be received before the producer signs the producer agreement. (Status P5 LOD GATE — HOLD.)

Boundaries

  • Operations controls only. Not legal, tax or accounting advice. Terms, clearance judgments and disputes go to the producer's attorney through the Escalation Owner.
  • The operator never signs, agrees to terms, releases signature pages, handles bank details, receives funds, or tells a label whether it can release.
  • Placement records, contacts and the tracker are internal and are never published.

Source

Built 2026-09-30 from four producer placement email audits (Cases 1–4). See data/historical-basis.md. Follow-up timers are Vox Nova policy; the historical record showed silences, not a working cadence.

Overview · SOP.md

SOP — Producer Placement → LOD → Contract → Payment → Release

Licensor: Keyman Publishing, LLC · Licensee: Vox Nova, LLC Applies to: every song where a Vox Nova producer client is credited as a producer Version: 1.0 — 2026-09-30

1. Purpose

Take a placement from the first email to a closed file, and be able to prove every step with a document. The operator's job is not to believe that something happened. It is to collect the proof that moves the placement to its next status.

2. Operational controls, not legal advice

This SOP is an operations checklist. It does not interpret contracts, decide what terms are fair, or give legal, tax or accounting advice. Whenever this SOP says "compare" or "reconcile," the operator checks that the words and numbers are the same. Deciding whether a difference is acceptable belongs to the producer and their attorney, through the Escalation Owner.

The operator never: - signs anything, for anyone - agrees to, proposes or changes any deal term - releases a producer's signature pages - gives payment or bank details, or changes a payment route - tells a label the song can or can't be released - receives or forwards producer advances

3. Roles

Role Who (typically) What they do in this flow
Operator Vox Nova staff Runs this SOP: records, requests, follow-ups, evidence, status.
Escalation Owner Named in README.md → Settings Decides everything in workflows/escalation.md.
Producer client Vox Nova's producer Confirms terms, answers sample questions, signs through their attorney.
Producer attorney Producer's counsel Negotiates, handles signature pages, often sends invoices.
Label business affairs Label legal/business affairs Sends terms and drafts, collects contracting info, circulates execution copies.
Artist attorney Artist's counsel Often drafts the producer agreement; gets the artist to sign the LOD.
Label A&R admin / payments Label A&R administration / accounts payable Vendor forms, PO, payment release, remittance.
Co-producers' teams Other producers' reps Must confirm splits; sign their own agreements.

IF NOT, WHO DO I ESCALATE TO? → workflows/escalation.md

The LOD rule: the artist's signature on the SoundExchange Letter of Direction, with its certificate of completion, must be in Vox Nova's hands before the producer signs the producer agreement. This is the producer's only leverage to get the LOD. After the producer signs, the artist side has no reason to hurry (historical case C3: three requests, no certificate).

5. Timers (business days = BD)

Clock Rule
Standard request No reply in 3 BD → Follow-Up #1. No reply 3 BD after FU1 → Follow-Up #2. No reply 2 BD after FU2 → escalate (E-13).

Fully executed copy Not received 10 BD after the producer signed → FU1 to the label, then the standard clock.
LOD signed after the certificate is verified SoundExchange submission proof within 10 BD; active confirmation checked every 10 BD until confirmed.
Invoice → payment Check at 10 BD after the invoice is acknowledged (or on the label's promised date, if sooner). Then the standard clock.
Release countdown Any gate item open at ≤10 BD to release → escalate (E-12) the same day.

6.3 Handling rules

  • Save every email that changes status as a PDF in 99_Correspondence/.
  • Open every attachment that the record depends on. Take facts from the document, not from the email describing it.
  • Never overwrite: new versions get a new date prefix.
  • Bank account numbers, IDs and tax IDs are never typed into the record or tracker. Store only the file the label received, in 05_Vendor_Setup/.
  • Contact lists, placement records and the tracker are internal. They are never posted, published or shared outside Vox Nova, the producer, and the producer's attorney.

6.4 Six-month test (done at P10)

Another operator, opening only the folder, can prove:

Question Where the proof is
What was agreed? 03_Agreement/fully-executed/ (+ Term Snapshots for history)
Who produced? Credit line + co-producer confirmations in 01_Deal_Terms/
Who owns what? Executed agreement splits + 02_Clearance/
What was signed, by whom, when? Signed PDFs + e-sign certificates
What was paid? 06_Payment/ remittance matched to invoice
What went to SoundExchange, and is it active? 04_SoundExchange_LOD/ submission + active proof
Who signed the LOD? Does the certificate exist? Artist-signed LOD + verified certificate
Is anything outstanding? 00_Record/placement-record.md → Outstanding items (empty)

7. After COMPLETE — publishing hand-off

At P10, send the internal registration hand-off (song, all writers and producers, confirmed publishing shares from the executed agreement, ISRC if known, release date) to Vox Nova's registration workflow. Registration is a separate process. This SOP only guarantees that the split data sent comes from the executed agreement.

Status Definitions & Transition Rules

Every placement has exactly one Placement Status at a time, plus two parallel Track Statuses (Payment, SoundExchange) that open after the agreement is fully executed.

A status moves forward only when the evidence in the "Required to enter" column is saved in the placement folder (see ../SOP.md §6 Document Control). An email that describes an event is not evidence of the event.

1. Placement Status (main line)

# Status Meaning Required to ENTER this status (evidence)
P0 NEW Something about a possible placement came in. Placement record created with source email/file saved to 99_Correspondence/.
P0-U UNPAPERED Only an audio file, title match, or verbal mention exists — no commercial terms in writing. Record created; "What should be verified next" filled in. Stays here until written terms arrive.
P1 TERMS REVIEW Written deal terms received; being extracted and checked. Term Snapshot #1 saved (01_Deal_Terms/) with the exact quoted sentence for each term.
P2 TERMS CONFIRMED Every producer on the song has confirmed the same terms in writing, and samples/collaborators are answered. (a) Written "confirmed" reply from each producer or their rep, referencing the snapshot version; (b) written sample answer from the producer side (none / list); (c) written collaborator answer; (d) no open Contradiction Flag.
P3 CONTRACTING Contracting info delivered; agreement being drafted / negotiated. Contracting-info email sent (saved) and acknowledged, or first draft agreement received.
P4 EXECUTION VERSION RECEIVED The final, clean agreement for signature is in hand and reconciled to confirmed terms. Execution-version PDF saved in 03_Agreement/ + Terms Reconciliation completed with every field = MATCH (or each difference approved in writing by the Escalation Owner).
P5 LOD GATE — HOLD Waiting for the artist-signed SoundExchange LOD before the producer signs. Producer must NOT sign in this status. Execution version reconciled (P4). Applies whenever LOD Required = YES.
P6 LOD RECEIVED Artist-signed LOD and its certificate of completion are in hand and verified. (a) LOD PDF with artist signature; (b) e-signature Certificate of Completion for that envelope; (c) LOD Verification (workflow soundexchange-lod.md §4) all PASS.
P7 PRODUCER SIGNED Producer has signed the agreement. Producer-signed PDF and the e-signature certificate (or scanned wet-ink pages). A drawn/pasted image signature does not count.
P8 FULLY EXECUTED All parties have signed. Fully executed PDF showing every signature line signed (including inducement letters and exhibits that require signatures). "OK to pay", "we'll circle back with the executed copy", or a partially executed copy do not count.
P9 RELEASE READY Everything required before release is done. Pre-release gate (../checklists/release-readiness-checklist.md) = all required items PASS.
P10 COMPLETE Placement fully closed. Payment Track = PAID-CONFIRMED and SoundExchange Track = ACTIVE-CONFIRMED (or N/A with reason) and evidence package audit passed and registration hand-off sent.

Side statuses (can be set from any P-status)

Status When to set How to leave it
BLOCKED Any required item can't move without someone else acting and a follow-up rule has run out, or an escalation trigger fires. Record the blocker in one sentence. Blocker resolved with evidence → return to the prior P-status.
ESCALATED An escalation trigger in ../workflows/escalation.md fires. Escalation Owner writes a decision in the record → return to the prior P-status or move to CLOSED.
RELEASED WITH OUTSTANDING ITEMS The song came out before P9. (This happened in all 3 of the papered historical cases.) Keep the P-status too, e.g. P7 / RELEASED WITH OUTSTANDING ITEMS. Reach P10.
CLOSED — NOT PLACED Written confirmation that the song won't use the producer's work, or the Escalation Owner closes it. —

Rules that never bend

  1. No producer signature before P6 when LOD Required = YES. If anyone asks the producer to sign first, escalate (trigger E-10).
  2. No skipping. P5 → P7 is not allowed. P3 → P7 is not allowed.
  3. Terms change = back to P1. If any term changes after P2, create a new Term Snapshot, set a Contradiction Flag, and go back to TERMS REVIEW.
  4. Status only moves on evidence. If the evidence isn't in the folder, the status doesn't move, whatever the email says.

2. Payment Track (opens at P2, completes after P8)

Vendor setup can start as soon as terms are confirmed, so paperwork isn't what holds up payment later.

Status Required to enter
PAY-NOT STARTED —
VENDOR SETUP IN PROGRESS Vendor/payee forms requested by the label (e.g. W-9, label vendor or registration form, tax portal) saved to 05_Vendor_Setup/.
VENDOR SETUP CONFIRMED Written confirmation from the label's admin that the vendor/payee record is created or approved. "Looks good to submit" = still IN PROGRESS.
ROUTE CONFIRMED One payee entity + one bank route for each obligation, confirmed in writing by the label, matching the agreement's payment-direction letter (if any).
INVOICED Invoice PDF saved, with invoice #, amount, payee entity, PO # (if the label uses POs), and the send email saved. Only allowed at or after P8, unless the Escalation Owner approves in writing.
PAYMENT PROMISED Label states a payment date / "OK to pay" / PO issued. Not payment.
PAID-CONFIRMED Bank deposit record or remittance advice showing amount, payer, and date, matched to the invoice #. An ACH notice with no amount or payer does not count.
PAY-DISPUTED Amount received ≠ invoice amount, or a duplicate/conflicting payment route exists → escalate (E-08 / E-09).

Each obligation gets its own row: producer advance, legal fee invoice, any other invoice. Never merge them.

3. SoundExchange Track

Status Required to enter
SX-N/A Written reason saved (e.g. agreement has no SoundExchange LOD and the producer's attorney confirms none is due). Only the Escalation Owner can set this.
LOD REQUESTED Request email saved (template lod-request.md).
LOD SENT FOR SIGNATURE E-sign envelope notice or the other side's email saying it was sent, saved.
LOD SIGNED BY ARTIST Artist-signed LOD PDF saved.
CERTIFICATE VERIFIED Certificate of Completion saved and all verification checks PASS. = Placement P6.
SUBMITTED TO SOUNDEXCHANGE Proof of who submitted the LOD to SoundExchange and when (submission email, portal screenshot, or SoundExchange case/ticket email).
ACTIVE-CONFIRMED SoundExchange email or a dated portal screenshot showing the LOD active for the named payee. A signed LOD + certificate alone are not proof that SoundExchange has it on file.

4. Evidence ≠ Claims — quick reference

What someone says What status it proves
"I sent the LOD" LOD SENT FOR SIGNATURE at most
"He signed it" Nothing until the signed PDF is saved
Signed LOD PDF LOD SIGNED BY ARTIST — not CERTIFICATE VERIFIED
Certificate of Completion CERTIFICATE VERIFIED — not ACTIVE at SoundExchange
"Contract sent" Nothing for execution
Partially executed copy Not FULLY EXECUTED
"OK to pay" / PO issued / "should land Wednesday" PAYMENT PROMISED
Invoice sent INVOICED
Remittance advice or bank deposit matching the invoice PAID-CONFIRMED

Workflow 1 — Placement Intake & Terms (P0 → P2)

Trigger

Any of these arrives for a Vox Nova producer client: - a label/business-affairs email with a song title + terms, or a request for producer details - an attorney email about a producer agreement - a "which producers / any samples / contracting info" email - an audio file, stems request or title mention with no terms

Step 1 — Create the record (same business day) → P0 NEW

Action Evidence required Status Next action
Search the tracker for the artist + song (and alternate titles). If a record exists, add the thread to it. Don't create a duplicate. Tracker search done — If none exists, create one
Create the folder Placements/KM-YYYY-NNNN — Artist — Song/ from §6.1 of the SOP Folder exists P0 Save the source email
Save the source email as PDF in 99_Correspondence/ PDF saved P0 Fill out the intake template
Fill in intake/placement-intake-template.md: every field known, UNKNOWN for everything else Record saved P0 Step 2

If there are no commercial terms in writing (audio only, title match, "we're using the beat"): set P0-U UNPAPERED, fill in "What should be verified next," and send templates/missing-information-followup.md Version A to the person who sent the file or their label contact. Check that the song isn't a different song with the same title (historical case C4). Leave the record at P0-U until written terms arrive.

Step 2 — Extract terms → P1 TERMS REVIEW (within 1 BD)

Action Evidence required Status Next action
Create Term Snapshot TS-1 in 01_Deal_Terms/: for each term, copy the exact sentence and note the email date + sender TS-1 file saved P1 Check for gaps
For each term, mark it STATED, UNKNOWN or UNCLEAR. Publishing must say whether the % is each producer or total. If the wording doesn't say, mark UNCLEAR. TS-1 complete P1 Check for contradictions
Compare against earlier emails in the thread and any other thread for the same song. Any difference → Contradiction Flag OPEN + new snapshot TS-2 Flag recorded P1 If OPEN → escalate (E-01)
List every producer credited or mentioned. Anyone not already known → trigger E-05 Producer list saved P1 Step 3

Minimum terms to get to P2 (all STATED, none UNCLEAR): advance total, all-in yes/no, advance allocation, master points/royalty + allocation, producer client's publishing share (each vs total), credit line, all producers named.

Step 3 — Confirm terms, samples and collaborators → P2 TERMS CONFIRMED

Action Evidence required Status Next action
Send templates/producer-terms-confirmation.md to the producer client (cc producer attorney), quoting the snapshot Sent email saved P1 Start the 3-BD clock
Send the same snapshot to each co-producer's rep and ask them to confirm the split Sent emails saved P1 Clock
Get the producer's own written answer: samples (none / list) and other collaborators (none / list) Reply saved in 02_Clearance/ P1 If a sample or interpolation → E-06
If the label sent a sample-clearance sheet or session/legal-info form, get it filled in and returned Returned form saved P1 —
All confirmations received, flag CLEARED Confirmation files listed in the record P2 Open the Payment Track (payment.md Step 1); go to contracting.md

What counts as a confirmation: an email reply that says "confirmed" (or equivalent) and refers to the snapshot sent. A thumbs-up emoji, a phone call, or "looks good" on a different email does not count. Ask again, quoting the snapshot.

No reply: follow SOP §5. At escalation, set BLOCKED ("co-producer split unconfirmed"). Historical case C3 lost 63 days here.

Workflows · workflows/soundexchange-lod.md

Workflow 3 — SoundExchange Letter of Direction (LOD)

What this is (operations view)

A SoundExchange LOD is signed by the featured artist. It directs SoundExchange to pay a share of the artist's digital-performance royalties to the producer's named payee. Only the artist can sign it, so the producer depends on the artist side to get it done. That's why Vox Nova requires it before the producer signs the producer agreement.

Whether an LOD is due, and what percentage, is set by the producer agreement. The operator doesn't decide either one.

Timing rule

P3 CONTRACTING ── request the LOD (Step 1)
P4 EXECUTION VERSION ── LOD wording in the agreement reconciled
P5 LOD GATE — HOLD ── producer does NOT sign
P6 LOD RECEIVED ── artist-signed LOD + certificate verified
P7 PRODUCER SIGNS

Step 1 — Request (at P3) → LOD REQUESTED

Who sends Operator
To Artist attorney (or label business affairs if the artist attorney isn't known), cc producer attorney
Template templates/lod-request.md Version A
Asks for (1) the LOD form SoundExchange will accept, filled in with the producer's payee entity and % from the agreement; (2) the artist's signature through a verified e-signature platform; (3) the Certificate of Completion for that envelope; (4) confirmation of who will submit it to SoundExchange
Attachments Payee details sheet (entity legal name, contact email, and the SoundExchange account holder name, if known). No bank details.
Complete when The other side confirms in writing who is preparing the LOD
No response Standard clock (3 / 3 / 2 BD) → E-13

Step 2 — Sent for signature → LOD SENT FOR SIGNATURE

Evidence: e-sign envelope notification, or the other side's email saying it was sent, with the date. Save it. This is not a signature.

Step 3 — Signed → LOD SIGNED BY ARTIST

Evidence: the LOD PDF with the artist's signature, saved as YYYY-MM-DD_LOD_<Artist>_SIGNED.pdf. If only "he signed it" arrives, reply with lod-request.md Version B (request the PDF + certificate).

Step 4 — Certificate verification → CERTIFICATE VERIFIED (= P6)

Save the Certificate of Completion as YYYY-MM-DD_LOD-Certificate_<Artist>.pdf, then fill in this sheet and save it as LOD-Verification.md:

# Check PASS / FAIL
1 The certificate is the platform's own audit/completion page (not a screenshot of an email)
2 The envelope/document ID on the certificate matches the LOD PDF (or the certificate lists the LOD document name)
3 The signer name on the certificate = the featured artist named on the LOD
4 The status shows Completed, with a completion timestamp
5 The signature on the LOD is a platform e-signature or wet ink — not a pasted image
6 Payee entity on the LOD = the SoundExchange payee in the executed/execution agreement
7 The % on the LOD = the % in the agreement
8 Song title(s) and artist name are spelled correctly; ISRC present if the form asks for it
9 Retroactive/effective-date wording matches the agreement (if the agreement says anything about it)
10 Names are spelled exactly as in the contracting info (historical C3: a payment-direction letter had to be re-signed over a misspelled name)

Any FAIL → send lod-request.md Version C (correction request) and stay in P5. Checks 6, 7 or 9 FAIL → also escalate E-11.

All PASS → P6 LOD RECEIVED. Tell the producer's attorney that the signature hold is lifted.

Step 5 — Submission to SoundExchange → SUBMITTED TO SOUNDEXCHANGE

After P8, confirm in writing who submits the LOD to SoundExchange (the artist side, the artist's attorney, or the producer side). Evidence: the submission email to SoundExchange, a SoundExchange case/ticket email, or a dated portal screenshot. No proof within 10 BD of P6 → FU1 to whoever agreed to submit.

Step 6 — Active confirmation → ACTIVE-CONFIRMED

Evidence: a SoundExchange email or dated portal screenshot showing the LOD active for the payee entity. Check every 10 BD until confirmed. After 3 checks with no confirmation → escalate E-11.

A signed LOD + certificate is not proof that SoundExchange has it on file. In a separate engagement, signed LODs existed that SoundExchange did not have.

Blockers & escalation

Situation Action
Artist side refuses to send the LOD before the producer signs E-10. The operator does not release the hold.
LOD can't be obtained after FU2 E-11
Certificate missing but the signed PDF exists Stay in P5; Version B; E-11 at the end of the clock
Release date ≤10 BD and still in P5 E-12
Payee entity on the LOD ≠ agreement E-11 (never "fix" it yourself)

Workflows · workflows/payment.md

Workflow 4 — Payment (Payment Track)

Principles

  • Vox Nova tracks payment. It doesn't receive, hold or redirect a producer's advance unless a signed agreement says so.
  • One obligation = one row: producer advance, legal-fee invoice, any other invoice.
  • The amount due comes from the executed agreement, not from an email.
  • Payment is confirmed only by a remittance or bank record showing amount + payer + date, matched to the invoice.

Step 1 — Start vendor setup (at P2) → VENDOR SETUP IN PROGRESS

Historical cases show vendor paperwork holding up payment after the contract was done (C2 outdated tax form; C3 form rejected for its signature type and form version). Start it early.

Action Evidence required Next action
Ask label A&R admin/payments which vendor forms they need for the producer's payee entity (templates/payment-request.md Version A) Sent email saved Standard clock
Get the forms from the label this time. Never reuse an old copy (outdated versions get rejected). Blank forms saved in 05_Vendor_Setup/ Producer completes them
The producer (or their entity signer) completes and signs using a verified e-signature platform or wet ink. Notarization / ID only if the form asks. Completed forms saved Producer or attorney submits
Check that the tax form (W-9 or equivalent) is current and in the payee entity's exact name Check noted in the record —
Label confirms the vendor record is created/approved Confirmation saved VENDOR SETUP CONFIRMED

Rejection → save the rejection, note the reason in the record, fix only what the label named, and resubmit on the form version the label sent with the rejection.

Step 2 — Confirm the payment route → ROUTE CONFIRMED

Check PASS when
Payee entity on the invoice = payee in the agreement's payment-direction letter (if any) = vendor record All three the same
Only one active route for each obligation No second payment-direction letter, factoring/advance-company letter, or bank change is in progress
Label has confirmed the route in writing Email saved

Any second route (for example a third-party payment-direction letter, or a request for a new vendor form with different bank details) → E-09 before anything is invoiced. Historical C3: two routes ran at once, which risked a double payment or a hold.

Step 3 — Invoice (at or after P8) → INVOICED

Who sends Producer's entity or producer attorney (as the agreement says). The operator prepares; the producer approves.
To Label payments contact named in the executed agreement / by business affairs
Contains Invoice #, date, payee entity, song, artist, amount from the executed agreement, PO # if the label issued one
Complete when The label acknowledges receipt in writing
No response Standard clock → E-13

Invoicing before P8 only with the Escalation Owner's written approval.

Step 4 — Chase to confirmed payment → PAYMENT PROMISED → PAID-CONFIRMED

Event Status Operator action
"OK to pay" / PO issued / "payment should go out by …" PAYMENT PROMISED Record the promised date
Promised date passes, or 10 BD after acknowledgment with no date PAYMENT PROMISED payment-request.md Version C (status request), then the standard clock
Producer or attorney reports funds received — Ask for the remittance advice or bank line (amount, payer, date). A screenshot is OK, with account numbers hidden.
Evidence matches invoice #, amount and payer PAID-CONFIRMED Save to 06_Payment/<obligation>/
Amount differs, payer unclear, or a duplicate payment PAY-DISPUTED E-08

Co-producer paid, producer client not: if the label confirms payment to another producer on the same song while ours is open (historical C2), send Version C the same day and start the clock at FU1.

Payment checklist

See ../checklists/payment-checklist.md.

Workflows · workflows/pre-release-gate.md

Workflow 5 — Pre-Release Gate (→ P9 RELEASE READY)

What the gate does and doesn't do

The gate decides whether Vox Nova marks the placement RELEASE READY in its own records. It does not stop a label from releasing a song, and the operator never tells a label whether it can release. In every papered historical case (C1, C2, C3) the song came out before the paperwork was finished, so the gate's practical job is to escalate early and to record honestly what was outstanding when the song came out.

When to run it

  • Every time the release date is learned or changes
  • Weekly for any placement with a release date
  • Daily once the release is ≤10 BD away
  • On release day

The gate

Use ../checklists/release-readiness-checklist.md. Each line is PASS, FAIL or N/A (N/A only with the reason and the Escalation Owner's initials).

# Item PASS evidence
1 Terms confirmed P2 confirmations saved; Contradiction Flag CLEARED
2 Producer identities confirmed Every producer named, with a contracting entity; no unknown producer
3 Publishing confirmed Share stated as each or total, in the executed agreement
4 Master points confirmed Points/royalty + allocation in the executed agreement
5 Samples cleared / confirmed none Producer's written answer; any sample has a clearance record from the label
6 Other collaborators identified Written collaborator answer; no new names since
7 Artist-signed LOD + certificate verified before the producer signed P6 date ≤ P7 date
8 Contract fully executed P8 PDF, every signature line
9 Payment status confirmed PAID-CONFIRMED, or vendor setup confirmed + route confirmed + invoice acknowledged, with written Escalation Owner acceptance that payment follows release
10 LOD submitted to SoundExchange Submission proof saved
11 Documents stored Folder audit (SOP §6.4) passes for everything done so far
12 No unresolved producer-rights issue No open escalation; no open Contradiction Flag

Result

  • All PASS (or approved N/A) → set P9 RELEASE READY.
  • Any FAIL → the record shows:
BLOCKED — DO NOT MARK RELEASE READY
Failing items: #__, #__
Release date: YYYY-MM-DD (__ BD away)
Owner of each item: …

and: - release >10 BD away → run the normal follow-up clocks - release ≤10 BD away → escalate E-12 the same day, and send templates/pre-release-clearance.md to the label/artist attorney only if the Escalation Owner approves - release has happened → set RELEASED WITH OUTSTANDING ITEMS, list the open items, and keep working the clocks toward P10

Note: item 10 (submission) can PASS without SoundExchange confirming the LOD is active. Active confirmation is required for P10 COMPLETE, not P9.

Workflows · workflows/escalation.md

Workflow 6 — Escalation

How to escalate

  1. Set the side status ESCALATED and log it in 00_Record/escalations.md:
E-ID: E-__ Raised: YYYY-MM-DD Placement: KM-____ — Artist — Song
Trigger: (one sentence)
Evidence: (file names)
Options I can see: (optional — facts only, no recommendation on terms)
Deadline pressure: release date / promised date
Decision needed by: YYYY-MM-DD
  1. Send it to the Escalation Owner (README → Settings) the same business day, with the evidence files attached or linked.
  2. Don't take any outside action on the escalated point until the decision is written in the record. Other steps on the placement keep running.
  3. No decision in 2 BD → resend, marked "second request." No decision in 2 BD more → raise it at the next weekly review, first item.

Legal line

Version A — to the producer client

Subject: {{Artist}} – "{{Song}}" – please confirm terms (TS-{{n}})

Hi {{Producer first name}},

Below are the terms for "{{Song}}" by {{Artist}}, as sent by {{Sender / company}} on {{date}}. Please confirm that each line is correct, or tell us what's different.

  • Producers on the record: {{list}}

Two more questions the label will need answered in writing: 1. Were any samples or interpolations used? If yes, list the source for each. 2. Did anyone else work on the production or writing (other producers, writers, musicians)?

Please hold off on signing anything until we confirm the paperwork is complete.

Thanks, {{Operator name}} Vox Nova Publishing, LLC

Subject: {{Artist}} – "{{Song}}" – contracting info needed

Hi {{Producer first name}},

The terms are confirmed. To have the agreement drafted, the label needs:

  1. Your legal name and producer name
  2. The company that signs (exact registered name, entity type, state) and who signs for it
  3. Notice address and email
  4. Your attorney's name, firm and email
  5. Your PRO and IPI number
  6. Your publishing company / designee and its IPI (if any)
  7. The company that should receive the advance (if it's different from #2, let us know why)
  8. The company name to use as SoundExchange payee on the artist's Letter of Direction

Please don't email bank or tax ID numbers. Those go directly on the label's vendor forms when they send them.

Thanks, {{Operator name}} Vox Nova Publishing, LLC

Master Placement Record — Schema

One record per song × producer client. If the same song arrives in several threads, it is still one record; link each thread under Correspondence. If one email covers several songs, create one record per song and note "shared terms — see Term Snapshot in " instead of copying the numbers.

Fill-in copy: ../intake/placement-intake-template.md. Spreadsheet version: placement-tracker.csv (one row per record).

Value rules - Write UNKNOWN when no document states it. Never guess. - Write N/A only with a reason, e.g. N/A — no samples (producer email 2026-10-02). - Every term field has a Source sub-field: file name in the placement folder + date. - Dates are YYYY-MM-DD. - Percentages are written the way the document writes them, plus a normalized value, e.g. "25% of their shit split evenly" → UNRESOLVED.

Historical Basis — Why the SOP Is Built This Way

This SOP was built from four email audits of past producer placements (Sep 2026). People's names and deal amounts are left out on purpose; the full audits are kept separately by the Escalation Owner.

Case Placement What the record showed
C1 Case 1 (major label, 2025–26) Terms by email in 6 days. Execution version arrived 4 months later. Producer signed Jan 20; fully executed copy 46 days after that. Song was already out before execution. Invoice sent 54 days after execution; 11 weeks after the invoice, repeated follow-ups still had no payment and no reply. No SoundExchange LOD ever started. No W-9 request found. Publishing % never stated in email.
C2 Case 2 (major label, 2024) Terms changed across 3 versions; the publishing wording contradicted itself ("25% each" vs "25% split evenly") and was never resolved in writing. The label asked for sample details; the producer side never answered in writing. Agreement came 5 months after terms; producer signed the next day; no fully executed copy found. Co-producer's invoice got a rush; the producer's invoice got no reply. A label tax-portal notice said the tax form was outdated. No LOD ever raised.
C3 Case 3 (major label, 2026) Artist's attorney wouldn't draft for 63 days until the co-producer's team confirmed the equal split; the producer's attorney followed up about 11 times. Producer signed before the artist's LOD arrived, then asked for the LOD certificate of completion 3 times (Aug 3, Aug 31, Sep 10). None received. Producer's signed pages sat 28 days without being received. Label vendor form rejected (drawn signature, outdated form version). Two payment routes ran at once (contract payee vs a separate payment-direction letter), and one of those letters needed re-signing because the name was misspelled. "OK to pay" Sep 10 → PO Sep 21 → "should land Wednesday" Sep 28 → no receipt found. Song released and later taken down while unpapered.
C4 Case 4 (independent) Only an audio file. No terms, contract, invoice or LOD in the mailbox. Possible terms sit inside publisher amendment and statement attachments that nobody has opened. A different song with the same title exists.

Lessons → controls

Lesson (case) Control in this SOP
Producer signed first and lost all leverage to get the artist's LOD (C3). LOD GATE (P5): the artist-signed LOD + certificate must be received before the producer signs.
LOD never raised at all (C1, C2). LOD Required defaults to YES; LOD is requested when contracting starts, not after release.
Signed LODs are not the same as LODs on file at SoundExchange (seen in a separate engagement). SoundExchange Track ends at ACTIVE-CONFIRMED, not at "signed."
Co-producer split unconfirmed → 63-day drafting stall (C3). P2 requires written confirmation from every producer before contracting info goes out.
Terms drifted across versions; publishing contradiction never fixed (C2). Numbered Term Snapshots, never overwritten; Contradiction Flag blocks P2.
Sample question unanswered by producer side (C2). P2 requires the producer's own written sample answer.
"Fully executed" assumed from an email; PDF never opened (C1). Fully executed copy never received (C2, C3). P8 requires the fully executed PDF with every signature line checked.
Signed pages lost in transit for 28 days (C3). After producer signature: confirm receipt within 2 business days.
Vendor form rejected for signature type and outdated form (C3); tax form outdated (C2). Vendor setup starts at P2; verified e-signature only; always use the form version the label sends this time.
Two payment routes at once; misspelled name on a payment-direction letter (C3). ROUTE CONFIRMED status; any second route = escalation E-09; name check on every signed document.
"OK to pay", PO, "should land" treated as progress (C3). PAYMENT PROMISED ≠ PAID-CONFIRMED.
Invoice silence for 11 weeks (C1); co-producer paid first (C2). Fixed payment follow-up clock; escalate at FU2.
Songs released before paperwork in every papered case (C1, C2, C3). Release-date countdown triggers escalation at 10 business days; RELEASED WITH OUTSTANDING ITEMS status.
Audio-only "placement" (C4). UNPAPERED status; never assume a deal exists.
Facts inside unopened attachments (C1, C2, C4). Terms are taken from the executed PDF, not from email summaries.

Where the follow-up timing comes from

The historical record shows long silences (weeks to months), not a working cadence, so the timers in this SOP are Vox Nova policy, set tighter than history on purpose:

  • Standard request: FU1 at 3 business days, FU2 3 business days later, escalate 2 business days after FU2 (8 business days total).
  • Payment: first check 10 business days after the invoice is acknowledged (or on the date the label promised, if sooner).
  • Release countdown: escalate at ≤10 business days to release with any gate item open.

The Escalation Owner can change these in ../README.md → Settings.
